Mirour Terms and Conditions
Effective Date: Wednesday October 14th 2026
These Terms and Conditions ("Terms") are a legally binding agreement between Lutely Inc., doing business as Mirour ("Mirour," "we," "us," or "our"), and the business entity or individual ("Brand," "you," or "your") that registers for or uses the Mirour platform.
By creating an account, accessing the platform, or using any Mirour services, you agree to these Terms. If you do not agree, do not use the platform. If you accept these Terms on behalf of a business, you confirm you have authority to bind that business.
We may update these Terms. We will notify you of material changes by email or through the platform. Continued use after notice means you accept the updated Terms.

"Brand Content" means all content, data, images, product information, branding, and materials you upload, create, or provide through the Platform.
"Customer Data" means information collected from or about your customers through the Platform, including names, email addresses, phone numbers, preferences, product interests, quiz responses, saved products, consent records, and engagement activity.
"Aggregated Data" means data that has been de-identified and combined so that it cannot reasonably be used to identify any individual customer or Brand.

2. Account and Access
To use the Platform, you must create an account and provide accurate, complete information. You are responsible for keeping your account credentials confidential and for all activity under your account.
You may authorize additional users to access the Platform on your behalf. You are responsible for ensuring that all Authorized Users comply with these Terms.
You must notify Mirour immediately if you become aware of any unauthorized use of your account.
Mirour may suspend or terminate accounts that violate these Terms or pose a security risk to the Platform.
3. Services
3.1 Service Description. Mirour provides a platform that enables brands to create guided, interactive customer experiences in physical retail environments. The Platform allows brands to engage customers through QR codes, NFC tags, and tablets; deliver product recommendations, education, and content; capture customer identity, preferences, consent, and intent; support staff with customer context and product knowledge; follow up with customers by email and text after the visit; and analyze customer engagement.
3.2 AI-Powered Features. The Platform includes AI-assisted features, including an AI chat tool that helps customers explore products and receive recommendations. These features generate responses based on your Brand Content, product catalog, and customer inputs. AI-generated responses are informational and may not always be accurate. Mirour does not guarantee the accuracy, completeness, or appropriateness of AI-generated content. You are responsible for reviewing and configuring AI features to align with your brand standards.
3.3 Availability and Modifications. Mirour will use commercially reasonable efforts to keep the Platform available but does not guarantee uninterrupted service. We may modify, update, or discontinue features with reasonable notice, and will give at least 30 days' notice before discontinuing any core feature.
4. Fees and Payment
4.1 Subscription Fees. You agree to pay the fees for your selected plan as described at the time of purchase or in a separate order form. Fees are in U.S. dollars and exclude applicable taxes.
4.2 Billing and Renewal. Subscriptions are billed monthly or annually, depending on your plan, and renew automatically at the end of each billing period unless you cancel at least 30 days before the renewal date.
4.3 Messaging Fees and Carrier Charges. Messaging fees are as stated in your plan or order form. You are responsible for carrier registration fees and pass-through carrier surcharges, which Mirour may invoice at cost.
4.4 Late Payments. If payment is not received within 15 days of the due date, Mirour may suspend access until the balance is paid, and may charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law, whichever is less.
4.5 Refunds. Fees are non-refundable except as required by law or as stated in a separate written agreement.
5. Data Ownership and Rights
5.1 Brand Content. You retain all ownership rights in your Brand Content. You grant Mirour a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your Brand Content solely as necessary to provide the Services.
5.2 Customer Data. As between you and Mirour, you own the Customer Data collected through your use of the Platform. Mirour processes Customer Data on your behalf as a service provider, only to provide, maintain, and improve the Services, including delivering customer experiences, powering AI features, generating analytics, and sending Messages on your behalf. Mirour does not use one Brand's Customer Data for any other Brand.
5.3 Aggregated Data. Mirour may create Aggregated Data from Customer Data and Platform usage, and owns it. Mirour may use Aggregated Data for any lawful purpose, including improving the Platform, creating industry benchmarks and reports, research, and marketing Mirour's services. Aggregated Data will be de-identified in accordance with applicable law so that it cannot reasonably identify any individual customer or Brand.
5.4 No Sale of Personal Information. Mirour does not sell, rent, or trade Customer Data or personal information.
5.5 Data Portability. On written request, Mirour will provide an export of your Customer Data, including consent records, in a standard machine-readable format within 30 days.
6. Privacy and Data Protection
6.1 Privacy Policy. Mirour handles personal information as described in our Privacy Policy at mirourmirour.com/privacy-policy, which is part of these Terms. Information about your customers is described to them in the Mirour Shopper Privacy Notice at mirourmirour.com/privacy.
6.2 Your Privacy Obligations. You are responsible for complying with privacy laws that apply to your business. If you keep your own privacy policy, it must accurately describe your collection and use of customer information, including through Mirour as a service provider.
6.3 Service Provider Terms. To the extent Mirour processes personal information of California residents or residents of other U.S. states with comprehensive privacy laws on your behalf, Mirour acts as your "service provider" or "processor." Mirour will not sell or share that information, retain, use, or disclose it for any purpose other than providing the Services, or combine it with data from other sources except as permitted by law. Mirour will help you respond to consumer requests about Customer Data.
6.4 Subprocessors. Mirour uses third-party service providers to deliver the Services, such as hosting, email delivery (SendGrid), text delivery (Twilio), and payments, each bound to protect the data and use it only for Mirour.
6.5 Data Security. Mirour uses commercially reasonable technical and organizational measures to protect Customer Data against unauthorized access, loss, or misuse. No system is completely secure. If a data breach affects your Customer Data, Mirour will notify you within 72 hours of becoming aware of it and will cooperate with any required notifications.
7. Email and Text Messaging
This section applies whenever you use the Platform to send Messages.
7.1 You are the sender. You are the sender, advertiser, and initiator of every Message sent from your account, and the party whose products or services are promoted. Messages are sent in your name, from your own email address and phone number. Mirour provides software that lets you capture consent, manage contacts, and send Messages, and transmits Messages only on your instructions. Mirour is not the sender of any Message.
7.2 You control and approve. You decide who receives each Message, what it says, and when it is sent, including by choosing segments, approving content, and turning on each automation. Automations, templates, or campaigns that Mirour suggests or drafts are not sent until you approve or activate them. Once approved or activated, they are your Messages for all purposes.
7.3 Consent. Mirour provides standard consent language on your sign-up forms. You approve that language and will not remove or change required disclosures. For any contact you import or sync into the Platform, you represent that the contact gave consent that meets applicable law for each channel you will use, and you will keep records of that consent and provide them to Mirour within 5 business days of a request. You will not re-add or message any contact who has opted out, except as permitted by law, and will tell Mirour within 2 business days of any opt-out you receive outside the Platform.
7.4 Your obligations. You will:
Comply with all laws that apply to your Messages, including the Telephone Consumer Protection Act, the CAN-SPAM Act, state telemarketing and privacy laws, and carrier and industry rules, including CTIA guidelines.
Include your business name in every Message and a valid physical mailing address in every marketing email.
Provide accurate business information for carrier registration, including legal name, EIN, address, and website, and keep it current.
Send text messages only between 8am and 8pm in the recipient's local time, unless Mirour enforces a narrower window.
7.5 Prohibited Messages. You will not send Messages that:
Are false, misleading, or deceptive, including subject lines and sender names.
Promote sex, hate, alcohol, firearms, or tobacco (including vape and cannabis) products, unless Mirour has confirmed in writing that required age verification and carrier approvals are in place.
Promote illegal products or services, high-risk financial offers, gambling, or third-party lead generation.
Go to purchased, rented, scraped, or shared lists.
Contain malware, phishing, or links you do not control.
7.6 Mirour's rights. Mirour may review Messages and contact lists for compliance but has no duty to do so, and does not verify consent obtained outside the Platform. Mirour may pause, block, or delay any Message, automation, phone number, sending domain, or account that it reasonably believes violates these Terms or the law, or risks action by a carrier, email provider, or regulator. Mirour will notify you promptly and is not liable for any resulting delay or lost sales. Mirour may change messaging features, limits, and enforcement rules to comply with law or carrier and provider requirements.
7.7 Records. Mirour keeps records of consents and opt-outs captured on the Platform, which you may export at any time. Mirour keeps these records for at least 5 years after your last Message, including after termination, to defend claims.
8. Intellectual Property
8.1 Mirour Ownership. Mirour retains all rights, title, and interest in the Platform, including all software, algorithms, designs, interfaces, documentation, and related intellectual property. These Terms do not grant you any ownership interest in the Platform.
8.2 Feedback. If you provide suggestions or feedback about the Platform, Mirour may use it without obligation or compensation to you.
8.3 Trademarks. Each party retains ownership of its trademarks. You grant Mirour permission to use your name and logo to identify you as a Mirour customer in marketing materials, unless you opt out in writing.
9. Acceptable Use
You agree not to:
Use the Platform for any unlawful purpose or in violation of any applicable law
Upload content that is defamatory, obscene, fraudulent, or infringes third-party rights
Attempt to gain unauthorized access to the Platform or its underlying systems
Reverse engineer, decompile, or disassemble any part of the Platform
Use the Platform to send unsolicited communications or spam
Interfere with the performance or availability of the Platform
Sublicense, resell, or redistribute access to the Platform without written consent
Use Customer Data in any manner that violates applicable privacy laws
Mirour may suspend or terminate your access for any violation of this section.
10. Third-Party Integrations
The Platform may integrate with third-party services, including point-of-sale systems, e-commerce platforms, email marketing platforms, CRM tools, and analytics services. Mirour is not responsible for the availability, accuracy, or performance of third-party services. Your use of them is subject to their terms and policies.
11. Warranties and Disclaimers
11.1 Mirour Warranty. Mirour warrants that the Platform will perform substantially in accordance with its documentation during your subscription.
11.2 Disclaimer. EXCEPT AS EXPRESSLY STATED IN SECTION 11.1, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." MIROUR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MIROUR DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT MESSAGES WILL BE DELIVERED; CARRIERS AND EMAIL PROVIDERS MAY DELAY, FILTER, OR BLOCK MESSAGES.
12. Limitation of Liability
12.1 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIROUR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO MIROUR IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12.2 Exclusion of Damages. IN NO EVENT WILL MIROUR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.
12.3 Exceptions. The limitations in this section do not apply to liability arising from gross negligence, willful misconduct, breach of confidentiality obligations, or your indemnification obligations under Section 13.1.
13. Indemnification
13.1 Your Indemnification. You will indemnify, defend, and hold harmless Mirour and its officers, directors, employees, and agents from all claims, fines, penalties, damages, settlements, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your Brand Content or the products and services you sell; (c) Messages sent from your account, your contacts, consent records, imported lists, or Message content; (d) your violation of any applicable law, including privacy and communications laws; or (e) any dispute between you and your customers. Mirour will notify you promptly of any claim and may participate in the defense with counsel of its choice. You may not settle a claim that admits fault by Mirour or imposes obligations on Mirour without Mirour's written consent.
13.2 Mirour Indemnification. Mirour will indemnify, defend, and hold harmless your business from any third-party claim that the Platform infringes a valid U.S. patent, copyright, or trademark, provided you promptly notify Mirour of the claim and cooperate in the defense.
14. Confidentiality
Each party will keep confidential any non-public information received from the other party that is marked confidential or that a reasonable person would understand to be confidential. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party. These obligations survive for three (3) years after these Terms end.
15. Term and Termination
15.1 Term. These Terms take effect when you create an account and continue until terminated. Your subscription term is as specified in your plan or order form.
15.2 Termination by You. You may cancel your subscription at any time through the Platform or by contacting Mirour. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.
15.3 Termination by Mirour. Mirour may terminate or suspend your account immediately if you breach these Terms, fail to pay fees after notice, or engage in activity that threatens the security or integrity of the Platform.
15.4 Effect of Termination. On termination: your access ends; all Messages stop; Mirour keeps your Customer Data for 90 days so you can export it, then may permanently delete it, except consent and opt-out records kept under Section 7.7; Mirour may continue to use Aggregated Data under Section 5.3; and Sections 5, 6, 7.3, 7.7, 11, 12, 13, 14, and 16 survive.
16. General
16.1 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Fulton County, Georgia.
16.2 Dispute Resolution. Before starting any legal proceeding, the parties will try to resolve disputes through good-faith negotiation for 30 days.
16.3 Entire Agreement. These Terms, any order forms, and the Privacy Policy are the entire agreement between you and Mirour and replace all prior agreements and understandings.
16.4 Severability. If any provision of these Terms is unenforceable, the remaining provisions stay in full effect.
16.5 Assignment. You may not assign these Terms without Mirour's prior written consent. Mirour may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
16.6 Waiver. Failure to enforce any right or provision of these Terms is not a waiver of it.
16.7 Force Majeure. Neither party is liable for any failure or delay caused by circumstances beyond its reasonable control, including natural disasters, acts of government, pandemics, internet outages, or third-party service failures.
